Affiliate Partnership Agreement

This Affiliate Agreement ("Agreement") is entered into by and between Innovative System Solutions, hereafter "Company", and the undersigned real estate professional or entity ("Affiliate") for the purpose of promoting and selling subscriptions to the Company's rental property management software ("Software") to landlords or property owners in exchange for commission compensation.

1. Program Overview

Affiliate will refer landlords and property owners to purchase monthly subscriptions to the Company's Software. For every successful customer referral resulting in a paid subscription, Affiliate shall receive 30% of the gross monthly subscription revenue collected from such referred customer(s), as described herein.

2. Enrollment

To become an Affiliate, real estate professionals must agree to this Affiliate Partnership Agreement.
Participation and eligibility are subject to Company approval and may be withdrawn at any time for breach or at Company's discretion.

3. Referral Process

Affiliate will receive a unique referral link or code to track referrals.
Landlords must sign up for a paid monthly subscription plan using Affiliate’s link/code to be eligible for commission.

4. Commission Structure

Affiliate is entitled to 30% commission on the gross monthly subscription revenue collected from each directly referred landlord who becomes a paying customer, for as long as that customer continues to pay monthly subscription fees.
Commissions are earned only on subscription payments actually received by the Company (excludes chargebacks or refunded transactions).

5. Payment Terms

Commissions are calculated at the end of each calendar month and paid within 30 days.
Payments will be made via Check, ACH transfer, PayPal, or other agreed-upon method.
Affiliate is responsible for any taxes arising from commissions paid.

6. Marketing and Conduct

Affiliate agrees to represent the Software accurately and not to make false, misleading, or unsubstantiated claims.
Spam, illegal, or unethical marketing practices are strictly prohibited and will result in immediate termination and forfeiture of unpaid commissions.

7. Relationship of Parties

No employment, partnership, or joint venture is created by this Agreement. Affiliate acts as an independent contractor.

8. Term and Termination

This Agreement is effective upon acceptance and continues until terminated by either party with written notice.
Company may terminate this Agreement immediately for breach, and reserves the right to modify this program at any time with written notice to Affiliate.

9. Limitation of Liability

Company is not liable for indirect, incidental, or consequential damages arising in connection with this Agreement.

10. Governing Law

This Agreement is governed by the laws of the State of Montana. Disputes are subject to the exclusive jurisdiction of the courts in Flathead County, Montana.

11. Entire Agreement

This Agreement constitutes the entire understanding between the parties regarding the subject matter herein and supersedes all prior agreements.
